Terms of Service

1. Acceptance of Terms

By accessing or using the UTRANSIQO platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all visitors, users, and others who access or use the Service.

We reserve the right to update or change these Terms at any time. We will notify you of any changes by posting the new Terms on the platform and updating the "last updated" date. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

2. Description of Services

UTRANSIQO provides a cloud-based Software-as-a-Service (SaaS) platform for transport operators in Africa. The Service includes, but is not limited to:

• Fleet management and vehicle tracking
• Car rental management and booking systems
• VTC and ride-hailing dispatch solutions
• Public transit management tools
• Financial management and billing
• CRM and customer support tools
• AI-powered analytics and reporting

The specific features available to you depend on the plan you subscribe to. Feature availability may change as we continue to develop and improve the platform.

3. Account Registration

To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for safeguarding your account credentials and for any activity that occurs under your account.

You must be at least 18 years old to create an account. By creating an account, you represent that you are of legal age and have the authority to bind yourself or your organization to these Terms.

You must immediately notify us of any unauthorized use of your account or any other breach of security. UTRANSIQO will not be liable for any loss or damage arising from your failure to comply with this section.

4. Licensing

Subject to your compliance with these Terms and payment of applicable fees, UTRANSIQO grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business operations.

4.1 License Restrictions

You may not:

• Sublicense, sell, resell, transfer, or distribute the Service or any part thereof
• Modify, reverse engineer, decompile, or disassemble the Service
• Use the Service to build a competing product or service
• Exceed the user, vehicle, or feature limits specified in your plan
• Share your license key or account credentials with third parties

4.2 License Tiers

The Service is offered in three tiers: Starter, Business, and Enterprise. Each tier provides different features, user limits, and vehicle limits as described on our pricing page. Your access to specific features is determined by your active subscription plan.

5. Payment Terms

Certain features of the Service require a paid subscription. By subscribing to a paid plan, you agree to pay all fees associated with the plan you select.

5.1 Billing Cycle

Fees are billed in advance on a monthly or annual basis, depending on the billing cycle you choose. All fees are non-refundable unless otherwise stated.

5.2 Payment Methods

We accept major credit cards, mobile money (Orange Money, MTN Mobile Money, Wave), and bank transfers for annual plans. You must provide valid payment information and authorize us to charge the applicable fees.

5.3 Price Changes

We reserve the right to adjust pricing at any time. Any price changes will take effect at the start of your next billing cycle. We will provide at least 30 days' notice before any price increase.

6. Intellectual Property

The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of UTRANSIQO and its licensors. The Service is protected by copyright, trademark, and other laws.

You retain all rights to any data you submit through the Service. By submitting data, you grant UTRANSIQO a non-exclusive, royalty-free license to use, store, and process such data solely for the purpose of providing and improving the Service.

7. Limitation of Liability

To the maximum extent permitted by applicable law, UTRANSIQO shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to, use of, or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

In no event shall UTRANSIQO's total liability exceed the amount you have paid us in the twelve (12) months preceding the event giving rise to the liability.

8. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason, including but not limited to a breach of these Terms.

You may terminate your account at any time by contacting us or through the account settings page. Upon termination, your right to use the Service will immediately cease.

8.1 Effect of Termination

Upon termination, all licenses and rights granted to you will immediately cease. You may request an export of your data within 30 days of termination. After this period, we reserve the right to delete your data permanently.

9. Governing Law

These Terms shall be governed and construed in accordance with the OHADA Uniform Acts and the laws of the Republic of Ivory Coast, without regard to its conflict of law provisions.
